You will indemnify XINYI SEMI in full against any damages, costs, losses and/or liabilities arising from your failure to comply with the Terms.
9. Limitation of Liability
Except where prohibited by law, in no event shall XINYI SEMI be liable for any indirect, consequential, exemplary, incidental or punitive damages, including but not limited to loss of profits, suffered by the user as a result of the use of the Websites, even if XINYI SEMI has been advised of the possibility of such damages. XINYI SEMI's and its partners' entire and maximum liability to you for any damages or losses arising out of your use of the Websites will not exceed the total amount of subion fees or similar charges incurred in connection with your use of any service or feature of the Websites. Some jurisdictions do not allow limitations of liability, so the foregoing limitations may not apply to you.
10. General
Any dispute arising out of or in connection with this Term, including any question regarding its existence, validity or termination, shall be referred to and resolved by the Primary People’s Court of Shanghai Pudong New District in accordance with the laws of the People's Republic of China.
